Primary Job Duties and Responsibilities (Essential Job Function)

The paralegal provides professional legal support to BHEs general counsels office, focusing on supporting corporate legal work and diversity, equity and inclusion including corporate external reporting and compliance activities, merger and acquisition activities, entity structuring including new entity formation and maintenance, in the context of complex corporate and LLC subsidiary structures, drafting board resolutions, and internal business reporting. The paralegal will also support BHE attorneys with basic legal research, summarizing legal documents, analyzing data, and drafting of legal and business communications with attorney oversight. The position involves working in a professional environment and occasional contact with governmental agencies, law firms, executive management and co-workers.

Typical Duties

Support the corporate secretary by managing and maintaining board, officer, shareholder and corporate subsidiary information, drafting corporate documents and board of director meeting materials, minutes and resolutions, all based on attorney inputs, and assisting with corporate subsidiary and affiliate formation and tracking. Will maintain corporate resolution archives and assist with common and preferred stock ledgers. Will also provide support regarding the companys reports filed with the Securities and Exchange Commission.

Perform legal and business research and communicate findings in written summaries and memoranda; create electronic resource libraries as needed.

Collect, review and organize information or documents; create and follow procedures for collection and storage of information; follow procedures for law department or corporate practices; analyze or derive statistical or other mathematical data.

Draft and revise legal and business documents in appropriate format and subject to an attorney's final approval.

Draft periodic reports and summaries for management; create, maintain and update charts of legal activities, and assist with processing and payment of expenses, including law firm invoices.

Provide support to BHE diversity, equity and inclusion initiatives, including coordination of resource sharing and collaboration across various businesses.

Provide limited administrative support to BHE legal department (time entry, travel, expense reports, calendar management).

Perform additional responsibilities as requested or assigned. Bachelor's degree. (Typically six years of related, progressive work experience would be needed for candidates applying for this position who do not possess a bachelor's degree.)

Persons with a certified legal assistant (CLA), certified paralegal (CP) or advanced paralegal (AP) designation will be given preference.

Five or more years working experience in a legal environment, either at a mid- to large law firm, or in-house legal department. Experience working with corporate/LLC entity formations and management of complex corporate subsidiary structures and director/officer slates preferred.

Previous experience in the energy industry helpful.

Demonstrated understanding of basic legal terms, proficiency in legal, internet and traditional research tools.

Strong organizational skills, particularly working with document control.

Strong computer skills; proficient in Word, Excel, PowerPoint and Wdesk; experience with hCue software will be given preference.

Effective verbal and written communication skills.

Effective analytical and problem-solving skills.

Ability to prioritize and handle multiple tasks and projects concurrently.

Ability to maintain strict confidentiality of company/corporate information.

Ability to build relationships with a variety of employees and non-employees.

Ability to obtain information despite real or perceived road blocks.
